Welcome to XpertNote Analytics LLP. By accessing our website, purchasing our service plans, or utilizing our enterprise solutions (including Website Development, App Development, Digital Marketing, and custom ERP/HRMS setups), you agree to be bound by the following Terms and Conditions.

1. Acceptance of Terms

By engaging with XpertNote Analytics LLP, you confirm that you are legally capable of entering into binding contracts. If you are agreeing to these terms on behalf of a company, you represent that you have the authority to bind that organization to these terms.

2. Scope of Services

We provide various digital solutions defined by standard and custom plans. The specific deliverables, timelines, and features for your project will be strictly governed by the plan you select during checkout or the custom proposal agreed upon via email.

• Development Services: Web and app development timelines are estimates. Delays in client feedback or asset delivery will correspondingly extend project deadlines.
• Digital Marketing: Results (such as SEO rankings or ad conversions) are subject to third-party search engine algorithms and market conditions; therefore, specific ROI cannot be unconditionally guaranteed.
• Maintenance: Free maintenance periods (where applicable) cover bug fixes and basic security updates, but do not include major feature additions or design overhauls.

3. Payments & Billing

All pricing is in Indian Rupees (INR) unless otherwise stated. Payment processing is securely handled by Razorpay.

• Advance Payment: For standard plans, 100% upfront payment is required via our checkout portal to initiate the project. For custom enterprise projects, milestones will be defined in a separate agreement.
• Taxes: Setup fees and taxes are calculated and displayed at checkout.
• Refund Policy: Due to the digital and labor-intensive nature of our services, payments are generally non-refundable once development or setup has commenced. If a project is cancelled before any work has begun, a refund may be issued at our sole discretion, minus any applicable payment gateway processing fees.

4. Intellectual Property

Upon receipt of full payment, the final deliverables (compiled code, graphics, and finished website/app) become your property. However, XpertNote Analytics LLP retains the right to use the completed project in our portfolio, case studies, and marketing materials unless a Non-Disclosure Agreement (NDA) is signed prior to project commencement.

We retain ownership of any pre-existing code libraries, proprietary frameworks (such as components of PulseHRM), or boilerplate code used to build your project.

5. Client Responsibilities

To ensure timely delivery, you agree to provide all necessary assets (logos, brand guidelines, text content, API keys, etc.) promptly. You also warrant that any materials provided to us do not infringe on the intellectual property rights of any third party.

6. Limitation of Liability

XpertNote Analytics LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of your use of our services. Our maximum liability in any circumstance is strictly limited to the amount paid by you for the specific service in question.

7. Governing Law & Jurisdiction

These terms and conditions are governed by and construed in accordance with the laws of India. Any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana.
